Terms of Service

1) Services

We provide website design/development, hosting support, SEO, paid media management (e.g., Google & Meta Ads), analytics, and related services. Specific deliverables and timelines are set out in our written proposal or agreement (“Statement of Work”).

2) Website use

• You will not misuse the website, attempt unauthorised access, or disrupt its operation.
• Content on our website is owned by or licensed to us and protected by IP laws. You may not reuse it without permission.
• Links to third-party sites are provided for convenience; we’re not responsible for their content or policies.

3) Proposals, fees & payments

• Quotes/proposals are valid for the period stated (or 30 days if not stated) and become binding when accepted in writing.
• Invoices are due per the payment schedule. Late or unpaid invoices may incur fees and/or suspension of services.
• Third-party costs (e.g., ads spend, premium plugins, stock assets) are billed separately unless stated otherwise.
• Prices exclude GST unless noted.

4) Client responsibilities

• Provide timely access to necessary information, assets, approvals, and accounts (e.g., hosting, analytics, ad platforms).
• Ensure materials you supply do not infringe third-party rights and comply with applicable laws.
• Nominate a single point of contact for feedback and approvals to keep delivery efficient.

5) Intellectual property

• We retain ownership of our pre-existing IP, processes, and tools. Upon full payment, ownership of final deliverables transfers to you, excluding third-party components under their own licences.
• We may showcase non-confidential work in our portfolio and marketing unless you request otherwise in writing.

6) Hosting, third-party tools & changes

• We may recommend hosts and tools. Their uptime, security, and terms are governed by those providers.
• Change requests after scope sign-off may impact timelines and fees; we’ll confirm before proceeding.

7) Disclaimers & warranties

Except as expressly stated, services are provided “as-is”. We do not guarantee specific rankings, traffic, conversion, or revenue outcomes, though we act diligently and to a professional standard.

8) Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, or consequential loss, or loss of profits, revenue, or data. Our total aggregate liability arising out of these Terms is limited to the fees paid for the specific services giving rise to the claim.

9) Term & termination

• Either party may terminate a project with written notice if the other party materially breaches and fails to remedy within a reasonable period.
• Upon termination, you’ll pay for work completed to date and any non-cancellable third-party costs.

10) Governing law

These Terms are governed by the laws of Western Australia, Australia. The courts of Western Australia have exclusive jurisdiction.

11) Changes to these Terms

We may update these Terms from time to time. Changes take effect when posted, with the “Effective date” updated above.
